Taking the Pain (and Expense) Out of the Annual Report Process

Recently, a client asked if it was time to start thinking about producing
this year’s annual report. My reaction: “Oh, no, not that again…” Yes,
it is time to start thinking about the annual report, not to mention that oftentimes
wailing and gnashing of teeth that accompanies the process.

Given these difficult financial times, just about every company is looking
to produce a quality report at a reasonable cost. Slickly produced and expensive
reports may raise the ire of some shareholders this year; however, it is still
important to produce a report that effectively communicates the company’s story
as well as a review of the year’s performance.

Update:  SEC Proposes Amendments to E-Proxy Rules

Recently the Securities and Exchange Commission (SEC) proposed amendments
to the proxy rules under the Securities and Exchange Act of 1934, as amended,
with the purpose of improving certain aspects of the notice and access method
for delivering proxy materials to shareholders.

Currently, the SEC allows issuers to deliver proxy materials to shareholders
through two methods:  A) full set delivery, which means that an issuer
sends a full paper set of the proxy materials to its shareholders along with
posting the proxy materials on the Internet; and B) notice and access, which
allows the issuer to provide notice of Internet availability of its proxy materials
to its shareholders.
